Terms of Service

Effective date: April 12, 2026

These Terms of Service ("Terms") govern your access to and use of the services, software, and website provided by Cue ("we," "our," or "us") at https://playcue.ai (collectively, the "Service"). Please read these Terms carefully before using the Service. By creating an account or accessing the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

1. Acceptance of Terms

By accessing or using the Service in any way — including browsing the website, creating an account, or uploading any content — you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

To use the Service, you must:

  • Be at least 13 years of age. If you are between 13 and 18, you may only use the Service with verifiable parental or guardian consent.
  • Have the legal capacity to enter into a binding contract in your jurisdiction.
  • Not be prohibited from using the Service under applicable law.
  • Not have had a previous account suspended or terminated by us for violating these Terms.

3. Accounts

You must register for an account to access most features. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Keep your account credentials confidential and not share them with any third party.
  • Notify us immediately at support@playcue.ai if you suspect unauthorized access to your account.
  • Be responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or remain inactive for an extended period (currently 24 months).

4. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

  • Upload, create, or distribute content that infringes any third party's copyright, trademark, patent, trade secret, or other intellectual property rights.
  • Upload or generate content that is unlawful, defamatory, obscene, threatening, harassing, or that constitutes hate speech.
  • Upload or generate child sexual abuse material (CSAM) or any content that sexually exploits minors.
  • Use the AI features to create non-consensual intimate imagery (NCII) or to misrepresent real individuals through deepfakes without their consent.
  • Circumvent, disable, or interfere with any security features or access controls of the Service.
  • Use automated means (bots, scrapers) to access the Service beyond normal use, or attempt to extract our source code or model weights.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service to transmit malware, viruses, or any malicious code.
  • Resell or sublicense access to the Service without our prior written authorization.
  • Misrepresent your identity or impersonate another person or entity.
  • Attempt to extract, reconstruct, or reverse-engineer any system prompts, AI pipeline configurations, internal instructions, or algorithmic logic of the Service's AI features.
  • Systematically collect, scrape, or analyze the Service's AI outputs to train, fine-tune, or distill competing AI models or services.
  • Use the Service for competitive benchmarking, performance evaluation, or feature comparison for commercial purposes without prior written consent from Cue.
  • Systematically collect or harvest AI-generated outputs in bulk for purposes unrelated to your personal or business use of the Service.

We reserve the right to investigate violations and take action, including removing content, suspending accounts, and reporting to law enforcement.

5. Your Content

You retain full ownership of all videos, audio, images, text, and other materials you upload to or create using the Service ("Your Content"). We do not claim any ownership rights over Your Content.

By uploading or submitting Your Content to the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to:

  • Store, reproduce, and process Your Content to operate the Service.
  • Transmit Your Content to third-party AI providers as described in our Privacy Policy, solely to provide the AI editing features you request.
  • Create derivative works (e.g., thumbnails, waveforms, transcripts) solely to display and deliver the Service to you.

This license is limited to what is necessary to provide the Service and terminates when you delete the content or your account. We will not use Your Content to train our own AI models without your explicit, separate consent.

You represent and warrant that: (a) you own or have all necessary rights to Your Content; (b) Your Content does not violate any third party's rights; and (c) your use of the Service and Your Content complies with all applicable laws.

6. AI Features & Generated Output

The Service includes AI-powered features that process your media and generate edits, captions, suggestions, and other outputs ("AI Output"). You acknowledge that:

  • AI Output is generated automatically and may contain errors, inaccuracies, or unexpected results. You are responsible for reviewing all AI Output before publishing or distributing it.
  • We do not guarantee the accuracy, completeness, or fitness of AI Output for any particular purpose.
  • The ownership and copyright status of AI Output may vary by jurisdiction. You are responsible for determining and complying with applicable law regarding AI-generated content.
  • To provide AI features, portions of your media may be transmitted to third-party AI providers (see our Privacy Policy). By using AI features, you consent to this processing.
  • You are solely responsible for ensuring that your use of AI features, including generating content that depicts real people, complies with applicable laws, platform policies, and ethical standards.

7. Intellectual Property of Cue

The Service, including its software, algorithms, AI models, design, graphics, user interface, and all other content not owned by users, is owned by Cue and is protected by copyright, trademark, trade secret, and other applicable intellectual property laws. This includes, without limitation, compiled WebAssembly modules, shader programs (WGSL/GLSL), machine-readable binaries, AI model weights, training data, system prompts, algorithmic logic, data structures, and user interface designs.

The algorithms, data structures, AI pipeline architecture, and compiled binaries of the Service constitute our trade secrets and confidential information protected under applicable trade secret laws, including the U.S. Defend Trade Secrets Act. Any unauthorized access, use, or disclosure of these trade secrets may result in immediate termination of your account and legal action.

We grant you a limited, non-transferable, non-sublicensable, revocable license to use the Service solely for your personal or internal business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code.

8. Beta Service

The Service is currently provided as a beta or early-access product. As such:

  • Features may be incomplete, unstable, or subject to significant changes without notice.
  • We do not guarantee any specific level of uptime, performance, or data durability during the beta period.
  • We may discontinue the beta, change access requirements, or transition to a paid service model at any time with reasonable notice where practicable.

Despite the beta status, these Terms, including limitations of liability, apply in full to your use of the Service.

9. Payments & Subscriptions

The Service is currently offered free of charge. We may introduce paid plans or features in the future. If we do, we will:

  • Notify you at least 30 days in advance via email and an in-app announcement.
  • Publish updated Terms that include pricing, billing cycles, refund policies, and payment terms at that time.
  • Never charge you without your prior, explicit consent.

Any future paid plans will be subject to additional terms that we will make available before you are required to pay.

10. Third-Party Links & Services

The Service may integrate with or link to third-party websites, applications, and services (e.g., stock media providers, AI services). These integrations are provided for convenience. We do not endorse, control, or assume responsibility for third-party content, privacy practices, or terms. Your interactions with third parties are governed solely by their own terms and policies.

11. Copyright & DMCA

We respect intellectual property rights and expect our users to do the same. If you believe that content on the Service infringes your copyright, please send a written notice to legal@playcue.ai that includes:

  • Identification of the copyrighted work claimed to be infringed.
  • Identification of the allegedly infringing material and its location on the Service.
  • Your contact information (name, address, email, phone).
  • A statement that you have a good-faith belief that the use is not authorized by the copyright owner.
  • A statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
  • Your physical or electronic signature.

We will respond to valid DMCA notices by removing or disabling access to the allegedly infringing content and notifying the account holder. Repeat infringers will have their accounts terminated.

12. Termination

By you: You may stop using the Service and delete your account at any time via Settings → Account → Delete Account. Deletion is permanent and cannot be undone.

By us: We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if your account has been inactive for 24 or more consecutive months, or if we discontinue the Service. We will try to provide reasonable advance notice where practicable.

Upon termination: (a) your license to use the Service immediately ends; (b) we may delete your data in accordance with our Privacy Policy; (c) Sections 5, 7, 11, 13, 14, 15, 16, and 18 will survive termination.

13. Disclaimer of Warranties

Important: Please read this section carefully.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY AI OUTPUT. SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CUE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT NOT PROHIBITED BY LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100. SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless Cue and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third party's rights.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. You agree that any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding arbitration administered by the International Chamber of Commerce (ICC) under its Arbitration Rules, with one arbitrator, proceedings conducted in English, and the seat of arbitration in Delaware, USA. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Class action waiver: You waive any right to bring or participate in a class action, class-wide arbitration, or representative action against us.

Exception: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

17. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service, applicable law, or our practices. If we make material changes, we will notify you by email (at the address associated with your account) or by posting a prominent notice in the Service at least 14 days before the changes take effect. By continuing to use the Service after the effective date, you agree to the updated Terms. If you do not agree, you must stop using the Service and may delete your account.

18. Miscellaneous

  • Entire Agreement. These Terms and our Privacy Policy constitute the entire agreement between you and Cue regarding the Service and supersede all prior agreements.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force.
  • Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure. We will not be liable for failures or delays caused by circumstances beyond our reasonable control.
